Terms & Conditions
1. Acceptance of Order
All orders placed by the Buyer are subject to acceptance by the Seller. Acceptance may be confirmed through a quotation, proforma invoice, sales order, or tax invoice.
2. Prices
- Prices quoted are subject to change without prior notice unless otherwise agreed in writing.
- Applicable taxes, duties, freight, packing, insurance, and other charges shall be borne by the Buyer unless specifically included in the quotation.
3. Payment Terms
- Payment shall be made as per the agreed credit terms stated in the invoice.
- In case of delayed payment, the Seller reserves the right to charge interest at 18% per annum or the maximum rate permitted by law.
- The Seller may suspend further deliveries until outstanding dues are cleared.
4. Delivery
- Delivery dates are estimates only and are subject to availability of stock and circumstances beyond the Seller's control.
- The Seller shall not be liable for any loss arising from delays in delivery.
- Risk in the goods shall pass to the Buyer upon delivery.
5. Inspection and Claims
- The Buyer shall inspect the goods immediately upon receipt.
- Any claim regarding shortages, damages, or incorrect items must be reported in writing within 7 days of delivery.
- Failure to notify within this period shall be deemed acceptance of the goods.
6. Returns and Exchanges
- Goods once sold shall not be taken back unless approved by the Seller.
- Approved returns must be unused, in original condition, and accompanied by the original invoice.
- Special-order or customized items are non-returnable.
7. Warranty
- Products are supplied with the manufacturer's warranty, if applicable.
- The Seller does not provide any additional warranty unless expressly stated in writing.
- Warranty claims shall be subject to the manufacturer's terms and conditions.
8. Limitation of Liability
9. Retention of Title
Ownership of the goods shall remain with the Seller until full payment of all amounts due has been received.
10. Force Majeure
The Seller shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, transport disruptions, government actions, or shortages of materials.
11. Cancellation
Orders once confirmed may not be cancelled without the Seller's written consent. Any costs incurred by the Seller due to cancellation shall be borne by the Buyer.
12. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by the laws of India. Any disputes arising out of or relating to the sale of goods shall be subject to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu.
13. Entire Agreement
These Terms and Conditions, together with the quotation, purchase order acceptance, and invoice, constitute the entire agreement between the parties.
